Corporate Counsel

MDC Partners is seeking a Corporate Counsel to join our team in Washington, DC As part of a small but dynamic legal department, you will report to the General Counsel but will work closely with MDCs Deputy General Counsel, senior business executives, and outside counsel.
This role is ideal for an attorney that is exceptionally organized, versed in corporate governance and SEC matters, and functions independently.
This position offers a unique opportunity to make an immediate valuable contribution to the success of MDCs Legal Department, while also developing your skills as a strong and effective in-house attorney.
Key
Responsibilities:
Assist in ensuring compliance with SEC and Nasdaq regulations and preparation of 10-Qs, 10-Ks, and proxy materials Prepare corporate governance materials, including Board and Committee materials, policies, and charters Draft and negotiate commercial agreements with clients, vendors, and others Manage international, state and county-level formations, qualifications and DBAs for 100
global subsidiaries, including preparation of corporate charter documents, inter-company agreements, foreign qualification, annual filings, withdrawal and dissolution Collaborate with other members of the legal, finance, HR, and operations teams to drive key strategic initiatives for the MDC Network Supporting various legal department projects
Qualifications:
JD from a top law school Admission to the Bar in one or more states 3-5 years of corporate law experience in a top law firm Excellent organizational skills and meticulous attention to detail Ability to function independently Eager to contribute and solve problems Business-oriented and pragmatic.
Estimated Salary: $20 to $28 per hour based on qualifications.

Don't Be Fooled

The fraudster will send a check to the victim who has accepted a job. The check can be for multiple reasons such as signing bonus, supplies, etc. The victim will be instructed to deposit the check and use the money for any of these reasons and then instructed to send the remaining funds to the fraudster. The check will bounce and the victim is left responsible.
