JOB DESCRIPTION The Counsel position is a generalist role, for someone looking to develop the skills to serve as a general counsel in the future.
Responsibilities include drafting agreements to support the marketing and magazine publishing businesses, researching obligations under applicable law and ensuring compliance with same, maintaining company governance documents, ensuring compliance with obligations under operating agreements, and counseling business clients on miscellaneous legal and business matters.
Responsibilities:
Drafting and negotiating marketing, licensing and other miscellaneous agreements.
Managing corporate governance documents, including, preparing resolutions, motions and amendments.
Analyzing contracts in response to business questions, as well as to provide necessary contractual/research information to department leadership (to assist in business development, litigation, risk assessment, etc.
).
Providing company executives with necessary information (often concerning legal rights and responsibilities) in order to make informed business decisions.
Handle miscellaneous administrative tasks, eg, maintaining litigation docket, handling own T&E, handling team seminar schedule.
Requirements:
JD from top-tier law school and at least 5 years of legal experience at top 100 law firm in corporate or other transactional department.
Must be a member of good standing in at least one state bar.
Strong interpersonal skills (multi-cultural/ written/verbal/negotiation).
Needs to be able to handle advanced level reasoning tasks and have good judgement.
Familiarity with Word, Adobe and Excel.
Must be able to respond to and interact with both internal and external senior level business executives in a professional, articulate, personable and useful manner.
Must be very organized and detail-oriented.
Must be comfortable multi-tasking and working in a fast-paced environment.

Don't Be Fooled

The fraudster will send a check to the victim who has accepted a job. The check can be for multiple reasons such as signing bonus, supplies, etc. The victim will be instructed to deposit the check and use the money for any of these reasons and then instructed to send the remaining funds to the fraudster. The check will bounce and the victim is left responsible.
