Senior Associate Attorney - Corporate
A nationally-recognized business law firm serving government contractors and commercial businesses is seeking an accomplished attorney to lead its Business & Transactions practice group. The ideal candidate must have a minimum of 7 years of experience in corporate law, complex mergers and acquisitions, and/or other business and commercial transactions, as well as direct experience managing a team/staff. The candidate hired will be trusted to represent our clients throughout the business cycle, from entity formation to shareholder agreements, employee incentive plans, and purchase and sale transactions. Qualifications:
- Experience leading mergers & acquisitions transactions, drafting and negotiating purchase agreements, financing agreements, and coordinating due diligence and closings
- Experience with entity formation and structuring, limited liability company agreements, shareholders agreements, partnership agreements, employee incentive plans, and commercial lending transactions
- Detail-oriented team player with the ability to manage multiple priorities, delegate efficiently, and meet deadlines
- Exceptional client communication and guidance throughout mergers and acquisitions, start-ups, and venture capital projects
- M&A and Corporate experience with government contractors and managing teams of in-house and outside counsel is preferred
- J.D. from an ABA-accredited law school and admitted to practice in or eligible for prompt admission into the District of Columbia
